(YOU ROCK, We, Us or the Company) operates a music-based, interactive, social networking community and user site where musicians network with other artists, friends, music lovers, such site to be accessed at http://yourocktheworld.com (the YOU ROCK Web site). YOU ROCK offers You access to data and information via the YOU ROCK Web site network infrastructure that may be provided by or through the YOU ROCK Web site (Services). (You, Your, Yourself, User, or Customer shall be synonymous for purposes of this agreement and shall mean the party making use of the YOU ROCK Web site.) Customers access to, and use of the YOU ROCK Web site is subject to these Legal Terms and Conditions. YOU ROCK and Customer are hereinafter also referred to collectively as the Parties or individually as a Party.

YOU ROCK shall own any data that it creates as a result of or derived from operating the YOU ROCK Web site, and further, Customer shall not object to any use by YOU ROCK of any such data, except as otherwise provided in these Legal Terms and Conditions. YOU ROCK grants Customer a non-exclusive, non-transferable, non-assignable, non-sublicensable, terminable license under YOU ROCKs copyrights in any information and data provided to Customer (including data from third parties), directly or indirectly, by or through the YOU ROCK Web site (YOU ROCK Web site Data), to use that YOU ROCK Web site Data solely for the uses contained under these Legal Terms and Conditions.
5. Content
You understand that all postings, messages, text, files, images, photos, video, sounds, or other materials (Content) posted on, transmitted through, or linked from the Services, are the sole responsibility of the person from whom such Content originated. You acknowledge that YOU ROCK does not pre-screen or approve Content, but that YOU ROCK shall have the right (but not the obligation) in its sole discretion to refuse, delete or move any Content that is available via the Service, for violating the letter or spirit of these Legal Terms and Conditions for any reason, or no reason.
6. Conduct
You agree not to post, email, or otherwise make available Content:
a) that is unlawful, harmful, threatening, abusive, harassing, defamatory, libelous, invasive of another's privacy, or is harmful to minors in any way;
b) that is pornographic or depicts a human being engaged in actual sexual conduct including but not limited to (i) sexual intercourse, including genital-genital, oral-genital, anal-genital, or oral-anal, whether between persons of the same or opposite sex, or (ii) bestiality, or (iii) masturbation, or (iv) sadistic or masochistic abuse, or (v) lascivious exhibition of the genitals or pubic area of any person;
c) that harasses, degrades, intimidates or is hateful toward an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability;
d) that impersonates any person or entity, including, but not limited to, a YOU ROCK employee, or falsely states or otherwise misrepresents your affiliation with a person or entity (this provision does not apply to Content that constitutes lawful non-deceptive parody of public figures.);
e) that includes personal or identifying information about another person without that person's explicit consent;
f) that is false, deceptive, misleading, deceitful, misinformative, or constitutes "bait and switch;
g) that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party, or Content that you do not have a right to make available under any law or under contractual or fiduciary relationships;
h) that constitutes or contains affiliate marketing, link referral code, junk mail,spam, chain letters, pyramid schemes, or unsolicited commercial advertisement;
i) that constitutes or contains any form of advertising or solicitation if: posted in areas of the YOU ROCK sites which are not designated for such purposes; or emailed to YOU ROCK users who have not indicated in writing that it is ok to contact them about other services, products or commercial interests.
j) that advertises any illegal service or the sale of any items the sale of which is prohibited or restricted by any applicable law, including without limitation items the sale of which is prohibited or regulated by federal or New Jersey state law.
k) that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
l) that disrupts the normal flow of dialogue with an excessive amount of Content (flooding attack) to the Services, or that otherwise negatively affects other users' ability to use the Services; or
m) that employs misleading email addresses, or forged headers or otherwise manipulated identifiers in order to disguise the origin of Content transmitted through the Services.
Additionally, you agree not to:
n) contact anyone who has asked not to be contacted, or make unsolicited contact with anyone for any commercial purpose;
o) stalk or otherwise harass anyone;
p) collect personal data about other users for commercial or unlawful purposes;
q) use automated means, including spiders, robots, crawlers, data mining tools, or the like to download data from the Service - unless expressly permitted by YOU ROCK;
r) post non-local or otherwise irrelevant Content, repeatedly post the same or similar Content or otherwise impose an unreasonable or disproportionately large load on our infrastructure;
s) attempt to gain unauthorized access to YOU ROCKs computer systems or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of, the Services or the YOU ROCK Web site; or
t) use any form of automated device or computer program that enables the submission of postings on the YOU ROCK Web site without each posting being manually entered by the author thereof (an automated posting device), including without limitation, the use of any such automated posting device to submit postings in bulk, or for automatic submission of postings at regular intervals.
7. Information Provided By You
You agree that any information (including without limitation any ideas, concepts, technologies or know-how) that you send to Us via the YOU ROCK Web site will not contain, and YOU ROCK does not want to receive from you through the YOU ROCK Web site, any copyrighted, confidential or proprietary information of yourself or any third party and YOU ROCK shall be free to use this information as it sees fit, except that personal data shall be governed by YOU ROCKs privacy provisions provided herein. By sending YOU ROCK any such information, you agree to transfer ownership, without further compensation, including any copyright therein. In addition, should you provide any personal data to YOU ROCK in order to register with us or enquire about products, services, programs or employment opportunities, you consent to allow YOU ROCK to store and transfer such personal data in accordance with the policies contained herein.

YOU ROCK respects the privacy of its members, its customers and visitors to its website (together known as Data Subjects) and takes its responsibilities regarding the security of information held on Data Subjects very seriously. Unless otherwise noted, everything Customer sees or reads on the YOU ROCK Web site including, but not limited to, textual, graphical and all other content created by or for You Rock Media Group, Inc., is (as between Customer and YOU ROCK) the property of You Rock Media Group, Inc., and is protected by copyright and may not be reproduced, distributed, publicly performed or displayed, transmitted, or used, except as provided in these Legal Terms and Conditions, without written permission of YOU ROCK. Re-publication or citation of any content generated by the YOU ROCK Web site without YOU ROCKs written consent is expressly prohibited, except as otherwise set forth herein. The YOU ROCK Web site may contain other proprietary notices and copyright information, the terms of which must be observed and followed. YOU ROCK The World is a trademark of You Rock Media Group, Inc.
Although YOU ROCK does not claim ownership of content that its users post, by posting Content to any public area of the Services, you automatically grant, and you represent and warrant that you have the right to grant, to YOU ROCK an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, copy, perform, display, and distribute said Content and to prepare derivative works of, or incorporate into other works, said Content, and to grant and authorize sublicenses (through multiple tiers) of the foregoing. When accessing a non-YOU ROCK Web site, Customer understands that that Web site is independent from YOU ROCK and that YOU ROCK has no control over the content of that website. In addition, a link to a non-YOU ROCK Web site does not mean that YOU ROCK endorses or accepts any responsibility for the content or the use of such website. It is up to Customer to take precautions to ensure that whatever is selected for Customers use is free of viruses and other items of destructive nature. Any link on this YOU ROCK Web site to third party web sites is being provided by YOU ROCK to you as solely a convenience. YOU ROCK makes no warranty or representation regarding the linked sites themselves or the contents thereon and YOU ROCK is not in any way responsible for such information or content or for the privacy or security practices of such third party sites. YOU ROCK assumes no responsibility and shall not be liable for any loss of, erroneous or unjustified transfer to any third party of, or any third partys unjustified access to or alteration of confidential data or information provided to YOU ROCK by Customer. You agree that YOU ROCK may use and/or transmit to third parties without limitation any information submitted, downloaded or generated on the You Rock Web site.
15. Disclaimer of Warranties

NOTWITHSTANDING ANY OTHER PROVISION CONTAINED IN THIS THESE LEGAL TERMS AND CONDITIONS, THE AGGREGATE CUMULATIVE LIABILITY OF YOU ROCK AND ALL OTHER YOU ROCK PARTIES, AS WELL AS THIRD PARTY SERVICE PROVIDERS, IN ANY AND ALL CIRCUMSTANCES, TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THIS THESE LEGAL TERMS AND CONDITIONS, ITS TERMINATION, OR ANY SERVICES, WILL NOT EXCEED $500.00. FURTHER, CUSTOMER UNDERSTANDS YOU ROCK IS NOT AN AGENT OF AND ASSUMES NO RESPONSIBILITY FOR THE ACTS OR OMISSIONS OF ANY THIRD PARTY SERVICE PROVIDERS NOR ANY ASPECT OF THE SERVICES RELATED TO THOSE THIRD PARTY SERVICE PROVIDERS.
THIS SECTION APPLIES: (a) EVEN IF YOU ROCK HAS BEEN NOTIFIED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF THE REMEDIES OTHERWISE PROVIDED UNDER THIS THESE LEGAL TERMS AND CONDITIONS, AT LAW, OR IN EQUITY FAIL OF THEIR ESSENTIAL PURPOSE; AND (b) REGARDLESS OF THE FORM OR CAUSE OF ACTION OR THE ALLEGED BASIS OF THE CLAIM, WHETHER BREACH OF CONTRACT, BREACH OF WARRANTY, NEGLIGENCE OR OTHER TORT, TRADE USAGE OR ANY OTHER CAUSE OF ACTION OR BASIS, TO THE EXTENT SUCH EXCLUSION AND LIMITATIONS ARE NOT PROHIBITED BY APPLICABLE LAW.
17. Indemnification
Without limiting the generality or effect of other provisions of this these Legal Terms and Conditions, as a condition of registration or usage of the YOU ROCK Web site, and/or YOU ROCK Services, Customer agrees to indemnify, hold harmless, and upon YOU ROCKs request to defend the YOU ROCK Parties against all third party claims, liabilities and damages incurred or allegedly incurred arising out of Customer’s use of the YOU ROCK Web site and/or the Services, and engagement in transactions on the YOU ROCK Web site and/or the Services.
18. Network Integrity
As a condition of Customers use of the YOU ROCK Web site and/or the Services, Customer agrees not to use the YOU ROCK Web site and/or the Services for any unlawful purpose or any purpose prohibited by these YOU ROCK Legal Terms and Conditions. You agree to comply with all laws, statutes, ordinances, and regulations (including unfair competition, anti-discrimination or false advertising) regarding or relating to Your use of the YOU ROCK Web site and the Services.
Customer may not obtain or attempt to obtain any information through any means not intentionally provided to Customer by YOU ROCK. In addition, Customer agrees not to copy, modify, adapt, reproduce, translate, distribute, transmit, reverse engineer, de-compile, or dissemble any aspect of the YOU ROCK Web site and/or the Services (including any prices or service descriptions) unless specifically authorized by this these Legal Terms and Conditions or permitted by law despite this contractual prohibition. Actual or attempted unauthorized use of the YOU ROCK Web site and/or the Services may result in criminal and/or civil prosecution.

YOU ROCK reserves the right to refuse to post or to remove any information in the YOU ROCK Web site, and the Services, in whole or in part, for any reason.
19. Limitations on Service
You acknowledge that YOU ROCK may establish limits concerning use of the Services, including the maximum number of days that Content will be retained by the Services, the maximum number and size of postings, email messages, or other Content that may be transmitted or stored by the Services, and the frequency with which you may access the Services. You agree that YOU ROCK has no responsibility or liability for the deletion or failure to store any Content maintained or transmitted by the Services. You acknowledge that YOU ROCK reserves the right at any time to modify or discontinue the Service (or any part thereof) with or without notice, and that YOU ROCK shall not be liable to You or to any third party for any modification, suspension or discontinuance of the Service.
20. Termination
You agree that YOU ROCK, in its sole discretion, has the right (but not the obligation) to delete or deactivate your account, block your email or IP address, or otherwise terminate your access to or use of the Services (or any part thereof), immediately and without notice, and remove and discard any Content within the Service, for any reason, including, without limitation, if YOU ROCK believes that you have acted inconsistently with the letter or spirit of these Legal Terms and Conditions. Further, you agree that YOU ROCK shall not be liable to you or any third-party for any termination of your access to the Services. Further, you agree not to attempt to use the Services after said termination.
21. Jurisdiction and Choice of Law
This Agreement shall be deemed to have been made in the State of New Jersey, U.S.A., and any disputes arising hereunder shall be governed by the laws of the State of New Jersey, U.S.A., without regard to conflicts of law principles. The parties consent to the exclusive jurisdiction of the State and federal courts of New Jersey.
22. General Provisions
If any provision (or portion thereof) of this these Legal Terms and Conditions shall be invalid or unenforceable under any applicable law, such invalidity or unenforceability shall not affect the validity or enforceability of any other provision hereof. In addition, in the event that any provision (or portion thereof) of this these Legal Terms and Conditions is determined by a court to be unenforceable as drafted by virtue of the scope, duration, extent, or character of any obligation contained therein, it is the Parties' intention that such provision (or portion thereof) shall be construed in a manner designed to effectuate the purposes of such provision to the maximum extent enforceable under such applicable law.
YOU ROCK shall not be liable for delays or failures in its performance to the extent such failures or delays result from acts beyond YOU ROCKs reasonable control, including, but not limited to, fire, flood, earthquake, elements of nature or acts of God, acts of war, terrorism, strikes, walkouts, riots, civil disorders, rebellions, quarantines, epidemics, embargoes or other similar governmental action.
These Legal Terms and Conditions shall constitute the entire agreement between you and YOU ROCK and shall govern Your use of the Services.
